Welcome to www.davenporttrading.co.uk. These Terms and Conditions outline the rules and regulations for the use of Davenport Trading Co Ltd's Website and the purchase of our wholesale commodities.

Davenport Trading Co Ltd ("the Company," "we," "us," or "our") is registered in England and Wales. By accessing this website and/or placing an order, we assume you accept these terms and conditions in full. Do not continue to use this website if you do not accept all of the terms and conditions stated on this page.

1. Business-to-Business (B2B) Sales

  • 1.1 Davenport Trading Co Ltd operates strictly on a Business-to-Business (B2B) basis. We are a wholesaler of bulk commodities, primarily sugar and sunflower oil.

  • 1.2 By placing an order with us, you confirm that you are purchasing goods for the purpose of your business, trade, or profession, and not as a consumer. Consumer protection laws (such as the Consumer Rights Act 2015) do not apply to these transactions.

2. Product Information and Availability

  • 2.1 We specialize in the wholesale trading of sugar, sunflower oil, and related commodities.

  • 2.2 While we strive to ensure that all product descriptions, specifications, and availability statuses on the website are accurate, commodity markets are highly volatile. We reserve the right to amend product specifications or withdraw products without prior notice.

3. Pricing and Quotes

  • 3.1 Due to the nature of global commodity markets, prices for sugar and sunflower oil are subject to frequent changes.

  • 3.2 Prices displayed on the website are for informational purposes only and do not constitute a legally binding offer.

  • 3.3 Official pricing will be provided via a direct quote or Proforma Invoice. Prices are exclusive of VAT, delivery, insurance, and any other applicable taxes or duties, unless otherwise stated in writing.

4. Orders and Contracts

  • 4.1 A contract between you and Davenport Trading Co Ltd is only formed once we have received your purchase order and we have issued a formal Order Confirmation or countersigned a sales contract.

  • 4.2 We reserve the right to reject any order for any reason, including but not limited to stock unavailability, credit issues, or pricing errors.

5. Payment Terms

  • 5.1 Payment terms will be specifically outlined in your sales contract or Proforma Invoice.

  • 5.2 Standard accepted payment methods for international and domestic wholesale trade include Bank Transfer (BACS/CHAPS) and Letters of Credit (LC), subject to prior agreement.

  • 5.3 Goods remain the property of Davenport Trading Co Ltd until full payment has been received and cleared.

6. Delivery, Shipping, and Risk

  • 6.1 Delivery timelines are estimates only. We will not be held liable for delays caused by shipping lines, customs clearance, force majeure, or other factors outside our control.

  • 6.2 Risk of loss or damage to the goods passes to the buyer according to the agreed Incoterms (e.g., FOB, CIF, EXW) stated in the final contract.

7. Quality Claims and Returns

  • 7.1 As a B2B wholesaler, we do not accept "change of mind" returns.

  • 7.2 The buyer must inspect the goods immediately upon arrival. Any claims regarding quality defects, damages, or shortages must be submitted to us in writing, along with supporting evidence (such as surveyor reports), within [Insert Number] days of delivery.

  • 7.3 Failure to notify us within this timeframe will constitute full acceptance of the goods.

8. Limitation of Liability

  • 8.1 Davenport Trading Co Ltd’s total liability in connection with any order shall not exceed the total price paid for the goods in question.

  • 8.2 We shall not be liable for any indirect, special, or consequential losses, including loss of profit, loss of business, or loss of goodwill arising out of any transaction.

9. Governing Law and Jurisdiction

  • 9.1 These Terms and Conditions and any separate agreements whereby we provide you goods shall be governed by and construed in accordance with the laws of England and Wales.

  • 9.2 Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
